Claspa Terms of Use

Welcome to Claspa. These Terms of Use ("Terms") govern your access to and use of Claspa’s mobile applications, websites, AI features, and related services (collectively, the "Services").

By creating an account or using the Services, you agree to these Terms, our Privacy Policy, and our Community Guidelines (which are incorporated by reference and form a binding part of this agreement). If you download or use Claspa through Apple’s App Store, Apple’s Standard End User License Agreement (EULA) also applies to the licensed app where applicable; these Terms continue to govern your Claspa account, user content, safety obligations, subscriptions, and use of the Services.

If you do not agree, do not use the Services.

1. Operator and Legal Entity

Claspa is operated by:

Claspa operates as an intermediary under the Information Technology Act, 2000 and applicable rules.

2. Eligibility

• You must be at least 18 years old.
• You must have legal capacity to enter into a binding agreement.
• You must provide accurate, complete, and truthful information.
• You may maintain only one account unless explicitly permitted.

Underage accounts will be removed immediately.

3. Your Account and Responsibility

You are responsible for:

• All activity conducted through your account
• Maintaining confidentiality of login credentials
• Ensuring the accuracy of the information you provide

You represent and warrant that:

• Your information is true and not misleading
• You will not impersonate any person
• You will not misrepresent age, identity, marital status, or intentions

Claspa is not responsible for consequences arising from inaccurate or false information provided by users.

4. Platform Role and Intermediary Status

Claspa is a technology platform that enables users to connect.

We:

• Do not initiate user communications
• Do not select recipients of user communications
• Do not modify user-generated content

Under Section 79 of the Information Technology Act, 2000, Claspa operates as an intermediary and shall not be liable for third-party content, subject to compliance with applicable law.

5. No Responsibility for User Conduct

You acknowledge that:

• Claspa does not control user behavior
• We do not guarantee identity, background, or intentions of members
• We do not conduct universal criminal background checks
• Any interaction (online or offline) is at your own risk

Claspa is not liable for:

• User misconduct
• Fraud, deception, or scams
• Emotional distress
• Personal injury
• Financial loss
• Off-platform incidents

Nothing limits liability where prohibited by law.

6. Community Guidelines (Binding)

Your use of Claspa is subject to our Community Guidelines.

We may remove content or restrict accounts that violate these guidelines.

Violations may result in:

• Content removal
• Feature restriction
• Suspension
• Permanent account termination

Severe violations (including child exploitation, credible threats, fraud rings) may result in immediate permanent removal.

7. Consent and Assumption of Risk

Personal interactions involve inherent risk.

You assume full responsibility for:

• Online communications
• In-person meetings
• Financial decisions
• Personal safety decisions

Claspa does not guarantee compatibility, intentions, or relationship outcomes.

8. No Guarantee of Outcomes

Claspa does not guarantee:

• That you will receive matches
• That users will respond
• That connections will result in relationships
• Any specific dating or emotional outcome

We provide infrastructure only.

9. AI-Generated Content and Automated Features

Claspa may provide AI-powered features including matching tools, content suggestions, moderation assistance, or chat functionality.

You acknowledge:

• AI-generated content may be inaccurate or inappropriate
• AI outputs are not professional advice
• AI results may contain errors or bias
• Users remain responsible for decisions made based on AI outputs

Claspa is not liable for reliance on AI-generated outputs.

10. Payments and Subscriptions

Claspa may offer paid digital features, one-time purchases, and auto-renewable subscriptions. Before purchase, the app displays the selected subscription or product, billing period where applicable, included services or benefits, and the store-provided price.

• Paid subscriptions may auto-renew unless canceled.
• Payment is charged to the App Store or Google Play account used for purchase at confirmation.
• Subscriptions renew automatically unless canceled at least 24 hours before the current billing period ends, subject to the applicable store rules.
• App Store and Google Play subscriptions must be managed or canceled through the relevant store account settings.
• Deleting your Claspa account does not automatically cancel store subscriptions.
• All sales are final except where refunds are required by law or handled by the applicable app store.

We may suspend access for failed payments, chargebacks, suspected fraud, or store-side entitlement issues.

11. Intellectual Property

All rights in the Services, including software, design, trademarks, and technology, belong to Today Solve Private Limited or its licensors.

You receive a limited, revocable, non-transferable license for personal lawful use. The app and software are licensed, not sold, and you may use them only as permitted by these Terms and the applicable app store terms.

You may not:

• Reverse engineer
• Scrape
• Copy or redistribute platform materials
• Exploit the platform commercially

12. Legal Notices and Takedown

If you believe content violates law or your rights, you may submit a written notice to:

support@hanabitech.com

Include:

• Full name and contact information
• Description of violation
• Relevant account or URL
• Supporting documentation

We may act in accordance with applicable law.

13. Termination

We may suspend or terminate accounts for:

• Violations of these Terms
• Safety risks
• Fraud
• Abuse of platform systems
• Legal or regulatory reasons

Termination decisions may be made without prior notice in serious cases.

14. Indemnification

You agree to defend, indemnify, and hold harmless Today Solve Private Limited, its affiliates, directors, employees, and agents from claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Services
• Your content or communications
• Your violation of these Terms or Community Guidelines
• Fraud, misrepresentation, or illegal acts committed by you
• Disputes between you and other users

We may assume exclusive defense of any indemnified matter.

15. Limitation of Liability

To the fullest extent permitted by law:

Claspa shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, goodwill, data, or reputation
• Emotional distress
• Personal injury resulting from user interactions

Our total liability shall not exceed the amount paid by you to Claspa in the 6 months preceding the claim.

16. Force Majeure

Claspa is not liable for failure or delay due to events beyond reasonable control, including:

• Natural disasters
• Government actions
• Internet outages
• Cyberattacks or hacking
• Infrastructure failures
• Cloud or app store disruptions

17. Dispute Resolution and Arbitration

Before initiating arbitration, parties agree to attempt informal resolution for 30 days.

All disputes shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996.

• Language: English
• Single arbitrator
• Individual proceedings only

You waive participation in class or representative actions.

If arbitration is unenforceable for a claim, courts in Amritsar shall have exclusive jurisdiction.

18. Governing Law

These Terms are governed by the laws of India.

19. Changes to Terms

We may update these Terms. Continued use of the Services constitutes acceptance of revised Terms.
